Terms of Service – Inventory Management Platform

1. Acceptance of Terms

By accessing the platform, you agree to these Terms. If using on behalf of an entity, you represent authorization. Services are provided ‘as is’ with uptime SLA of 99.9% monthly.

2. Service Level Agreement (SLA)

Uptime credited as follows: 99.5%-99.9% => 5% credit, <99.5% => 10% credit. Excludes scheduled maintenance (notified 72h prior). Credits max 100% of monthly fee.

3. Data Integrity & Security

Client retains ownership of inventory data. We implement administrative, physical, and technical safeguards. In case of breach, client notified within 72 hours per GDPR Art. 33.

4. Payment Terms

Subscription fees invoiced monthly in arrears. Payment due net 30. Late payments subject to 1.5% monthly interest. Taxes not included.

5. Limitation of Liability

Our liability limited to fees paid in 12 months preceding claim. No liability for indirect, consequential damages (e.g., lost profits, inventory obsolescence).

6. Termination

Either party may terminate with 30 days written notice. Upon termination, client data exported within 10 business days. Survival of Sections 3, 5, 8.

7. Dispute Resolution

Governing law: State of Delaware. Disputes resolved via binding arbitration per JAMS rules. Class action waiver.

8. Force Majeure

Neither party liable for delays due to events beyond reasonable control (e.g., natural disasters, cyber attacks, pandemics).
